CoreCompass.com (the “Website” and "Core Compass") and Core Compass Services (the “Services”) are a collection of digital products and services owned and operated by Core Compass Solutions Inc. (“Core Compass Solutions”). Our Website and our Services are designed to deliver selective distinguished expert insights, foster opportunities for vetted registrants to exchange ideas, and enable our audience to more effectively participate with the professional advisors that they engage.

This Terms of Use (the “Agreement”) governs your use of Core Compass’s Website and Services. You agree that by using or accessing our Core Compass Website or Services, you are entering a legally binding agreement (even if you are using our Core Compass Website or Services on behalf of a company), as updated from time to time in accordance with Section 6 below. If you do not agree to this Agreement, do NOT register and do not access or otherwise use our Core Compass Website or any of our Services.

Registered users of our Core Compass Website and Services are “Members” and unregistered users are “Visitors”. This agreement applies to both. Your use of our Core Compass Website and Services constitutes your acceptance of this Agreement.

1.  Content and Information

The Core Compass Website and Services offer you the opportunity to access, contribute, submit, post or agree to post articles, comments, discussions, photographs, images, binary files, audios, videos, links and profile information, all of which collectively is referred to as “User Content” in this Agreement and is subject to various terms and conditions set forth below.

1.1  Cautions That User Content Is Not Professional Advice. You understand and agree that User Content, as well as any information supplied by any employee or agent of Core Compass Solutions or Core Compass, is intended solely as general educational information, does not constitute legal, tax, medical, accounting, investment, financial planning or other professional advice, and does not recommend that you take any action, including the purchase or sale of any security or investment. Individual situations and state laws vary, and Members and Visitors are strongly encouraged to obtain appropriate advice from qualified professionals in applicable jurisdictions before acting on any matters covered in User Content or on the Core Compass Website or Services at large. Legal, tax, investment, medical or other professional advice should always be tailored by an appropriate professional to your specific situation.

1.2  Cautions Regarding Other Users and User Content. You understand and agree that User Content includes information, views, opinions, and recommendations of many individuals and organizations and is designed to help you gather the information you need to help you make your own decisions. Importantly, you are responsible for your own business, investment and personal decisions, and for properly analyzing and verifying any information you intend to rely upon. We do not endorse any recommendation or opinion made by any Core Compass author, presenter, user, Member, Visitor, employee or agent. However, we reserve the right to monitor or remove any User Content from the Core Compass Website or Services at any time without notice. You should also be aware that other users may use the Core Compass Website or Services for personal or professional gain. As a result, please approach User Content, general content, Comments and Discussions with appropriate skepticism. User Content may be misleading, deceptive, or in error.

1.3  Cautions Regarding Legal & Tax Rules, Investment Environments. You understand and agree that legal rules and tax rules change frequently and that investment environments are dynamic and widely vary, therefore, we cannot guarantee that any information in User Content is accurate, up to date or appropriate for your specific circumstances. You also understand and agree that no author or individual on the Website or Services is acting as your attorney, CPA, investment advisor, medical advisor or other professional. Nothing on the Website or Services is intended to be used for the purpose of state or federal tax penalty protection. Furthermore, the information on the Core Compass Website and Services may not be used in connection with the marketing of any state or federal tax plan under any circumstances. The law varies widely from jurisdiction to jurisdiction, and it is subject to varying interpretations.

1.4  Your License to Core Compass and Core Compass Solutions. As between you and Core Compass Solutions, you own the content and information that you submit or post to the Core Compass Website and Services and you are only granting Core Compass and Core Compass Solutions the following non-exclusive license: A worldwide, transferable and sublicensable right to use, copy, modify, distribute, publish, and process, information and content that you provide through our Core Compass Website or Services, without any further consent, notice and/or compensation to you or others. These rights are limited in the following ways:

1.4.1  Your Rights To Remove Your Content From Core Compass. You can end this license for specific content by directly deleting the content from the Core Compass Website or Services where you have access permission to delete, or by contacting us with your instructions to delete that specific content, except (a) to the extent that your content was shared with others as part of the Core Compass Website or Services and they copied and stored it, (b) for video content in which you participated that was produced by Core Compass and (c) for the reasonable time it takes us to confirm your content deletion request and subsequently remove it from primary, backup and other systems.

1.4.2  Your Content and Ads. We will not include your content in advertisements for the products and services of others (including sponsored content) without your separate consent. However, we have the right, without compensation to you or others, to serve ads near your content and information, and your comments on sponsored content may be visible as noted in the Privacy Policy.

1.4.3  Use of Your Content Outside of Core Compass. We will get your consent if we want to give others the right to publish your posts beyond the Core Compass Website or Services. However, other Members and/or Visitors may access and share your content and information, consistent with their level of access to the Core Compass Website or Services and their obligations under this Agreement.

1.4.4  Editing and Formatting Changes. While we may edit and make formatting changes to your content (such as editing to improve structure and clarity, translating it, adding, removing or adjusting images or exhibits, modifying the size, layout or file type or removing metadata), we will not modify the meaning of your expression with the exception that we may remove direct commercial solicitations, promotions or references to your specific products or services in accordance with this Agreement as further discussed below.

1.4.5  Your Use of Your Own Content. Because you own your content and information, you may choose to make it available to others through other mechanisms other than the Core Compass Website and Services, except for (a) content which you have explicitly given Core Compass and Core Compass Solutions exclusive rights to use and (b) video content in which you participated.

You agree that we may access, store and use any information that you provide in accordance with the terms of the Privacy Policy and your privacy settings and actions.

You represent to us that if you upload, post, submit or agree to post User Content on the Core Compass Website or Services that is covered by intellectual property rights (“IP Content”) as well as User Content that isn’t IP Content, you have all the necessary legal rights to upload, post, submit or agree to post such User Content and it will not violate any law, contract provision or the rights of any person or legal entity.

1.5  No Guarantee of Confidentiality. You understand and agree that because the Core Compass Website and Services are available to the general public, we cannot guarantee that any User Content will remain confidential, nor do we guarantee that User Content that is published in Private Areas will be available only to those Members who are supposed to have exclusive access to those areas.

1.6  Our Rights to Remove Content. We reserve the right to remove any User Content from the Core Compass Website or Services for any reason and without notice to you. This includes all materials related to your use of the Core Compass Website or Services or Registered Membership, postings, profiles or other personalized information you have created while on the Core Compass Website or using the Services.

1.7  Notice to Us of Agreement Violations. If you believe that any User Content submissions appear to violate this Agreement, or if you believe that any user is engaged in illegal, harassing, or objectionable behavior, please contact us with details by using the “Contact Us” option on the Core Compass Website.

1.8  Copyright/IP Content Policy. It is our policy to respond to notices of alleged infringement that comply with the Digital Millennium Copyright Act. For more information about our policy, please see our Copyright Policy.

1.9  Your Feedback and Suggestions. We always appreciate your feedback or other suggestions about Core Compass, but you understand and agree that we may use them without obligation to compensate you for them (just as you have no obligation to offer them).

2.  Privacy

Your privacy is extremely important to us. We developed our Privacy Policy to make important disclosures on the Personal Information and Other Information that we collect, how we use that information, your choices with information and your obligations with respect to the privacy of the information you access on the Core Compass Website and in Core Compass Services. We strongly recommend that you read and familiarize yourself with the Privacy Policy, and use it to make informed decisions.

3.  Registration and Access to Private Areas

Access to many portions and features of the Core Compass Website and Services is restricted to registered Members to whom we individually grant different levels of access. These restricted portions of the Core Compass Website and Services are known as “Private Areas”.

3.1  Registered Members. By registering for free, logged-on individuals have enhanced access to the Core Compass Website’s content, resources and features and are able to participate in live Webcasts. Individuals who agree to this Agreement may register by clicking “Register” on the Core Compass Website, establishing a UserID and Password, and confirming a valid working email address. Core Compass Solutions and Core Compass reserves the right to deny or delete any Member registrations that, at its sole discretion, don’t originate with good faith intent, have the potential to degrade the operating quality of the Core Compass Website or Services or for whatever other reason we determine is appropriate.

3.2  Verified Members. Registered Members may optionally upgrade to “Verified Membership” for free by clicking “Verify My Account” on the Website’s header and submitting the completed form to enable Core Compass to verify their identity. Verified Members represent a diverse peer group of business decision makers, entrepreneurs, corporate executives, professionals, investors, family offices and the professional advisors that they engage. Through the verification process, we’re better able to maintain the integrity of discussions and comments with peer perspectives that originate from those who share similar success driven goals in their personal and professional lives. Verified Members may participate anonymously on the Website if they prefer after verification and are able to contribute to comments and access some private discussions as well as extended content. To facilitate verification, we ask that you provide us with your real first and last name, contact information and relevant biographical details. This information is routed, processed and maintained remotely from the Core Compass Website’s primary servers, is only used internally by Core Compass Solutions and is never shared with third parties.

3.3  Vetted Private Communities. Vetted Private Communities are private areas of the Core Compass Website where content, resources and discussions are focused on the narrow interests of specific individual peer interest groups. Membership in each different Vetted Private Community is by invitation based on the information provided for Verified Membership, by peer and professional practitioner nomination or other information about you.

3.4  Notification of Official Email Address Changes. As a Registered Member, you agree to notify us promptly if you change your Official Email Address so we can continue to contact you and send any notices required hereunder. If you fail to notify us promptly of a change, then any notice we send to your old Official Email Address shall be deemed sufficient notice. Your Official Email Address is the email address that you use when you register on Core Compass, and it is the email address that Core Compass uses in all of its direct communications with you. Your Official Email Address is not viewable by other Registered Members or users – under normal circumstances, only Core Compass administratively has access to it. Optionally, you can provide a separate email address in your Public Profile or leave it blank. Registered Members can change their Official Email Address by updating it in the Website Member Menu.

3.4  Anonymity Must Be Used For Stealth and Not To Deceive. Core Compass permits Verified and Registered Members to participate anonymously, if they prefer. However, this anonymity comes with a responsibility for those Verified and Registered Members who utilize it. The intent of the option to remain anonymous is to enable a Member to operate with stealth in order to maintain privacy. It may not be used in any way that would deceive other Members or users. For example, an individual’s anonymity on the Core Compass Website may not be used to create the impression that you are someone who you are not, or to introduce information that is intended to deceive other Members or users. Core Compass considers this kind of misrepresentation to be fraud, and when discovered, will handle it accordingly. Verified and Registered Members understand and agree that the ability to participate anonymously is not guaranteed given a general environment where numerous third-parties are actively working to obtain private information by any means possible.

3.5  UserName Conflicts. We may refuse to grant you a username, or we may require you to change a username, that impersonates someone else, is protected by trademark or other proprietary right law, or is vulgar or otherwise offensive.

3.6  Single Individual Registered Member Account. You agree not to register to create more than one individual Registered Member Account on Core Compass. If you registered previously and have a dormant Membership Account that you can no longer access, please use the “Contact Us” option on the Core Compass Website to tell us, and we’ll work with you to reactivate it.

3.7  Only Use Your Member Account. If you use a Membership Account belonging to a Member, you warrant that you are the Member to whom the membership account has been registered.

3.8  Membership Account Sharing Prohibited. You may not share the password to your Membership Account with any other individual or entity for any reason.

3.9  Unauthorized Access From Your Membership Account. If you believe someone has accessed the Core Compass Website or Services using your user name and password without your authorization, you should use the Core Compass Website "Contact Us" option to let us know immediately.

3.10  Registration By Non-U.S. Residents. If you are a Registered Member of the Core Compass Website, your registration data and other information about you are subject to our Privacy Policy. Your information will be stored and processed in the United States of America where Core Compass Solutions and Core Compass has facilities. If you are located outside the United States of America, you consent to the transfer of your information outside your country of residence.

3.11 Premium Subscriptions. In addition to Registered Memberships, Verified Memberships and memberships in Vetted Private Communities, the Core Compass Website offers additional optional Premium Subscriptions. Premium Subscriptions provide extended access into content, features and services in a variety of areas of the Core Compass Website that are closed to those without a Premium Subscription. 4.  Limitations of Use

4.1  You Are Encouraged to Share Content Using the Sharing Buttons and Options That We Provide. We provide a variety of sharing buttons and options throughout the Core Compass Website and Services that make it easy for you to share content and videos with others by email or at social media sites. We encourage you to use the sharing buttons as primary tools to share Core Compass insights.

4.2  You May Directly Share Article, Video or Webcast URLs. You may forward or embed the URLs (Uniform Resource Locators, also known as a “Web Address”) to Website Articles, Videos or Webcasts (otherwise known as “Web Events”, "Webinars" or "Web Conferences"). You understand that Core Compass Solutions may establish and change the access rights to different individual Web Pages and Features, restricting or enabling different classes of public users, Members and Subscribers from accessing those Web Pages or Features that are the targets of URLs that you might share. For example, an article that renders a Web page when a Registered Member uses a specific URL might not be accessible by a public user who is not registered on Core Compass.

4.3  You May Never Share the Content of Discussions or Comments. You agree that you may never copy Discussions or Comments to which you have access in order to directly share those Discussions or Comments with others. Discussions and Comments are maintained in Restricted Areas on Core Compass and this content is private to those Members who have access to it by virtue of the access levels of their specific Website Account.

4.4  You May Never Copy Videos. You agree that you may not make copies of Website Videos, in part or in whole, and you may only share or access them by the URLs that we provide to you. You also agree that you will not take any action to upload or store a Website Video on any device designed to enable access to that video outside of the servers we maintain for our Website and our Services.

4.5  You May Occasionally Share a Copy of an Article That Is Not In a Vetted Private Community. You may occasionally share a copy of the full content of an article, or a portion of an article from Core Compass to a few individuals without charge, provided it is not restricted for access to one of the Website’s Vetted Private Communities. When you share content directly from an article you should include all copyright and other proprietary rights notices in the same form in which the notices appear in the Website, original source attribution to the author(s) of the article including any biographical and contact information included with the article, and the phrase "Sourced from Core Compass (www.corecompass.com). Used with permission from Core Compass Solutions Inc." Otherwise, you will not sell, publish, distribute, retransmit or otherwise provide access to article content or any downloadable files, and you may not store article content or any downloadable files in any way that would enable access by anyone other than you alone for your private individual use.

5.  Rules of Conduct

Core Compass Solutions does its best to maintain a professional environment on the Website with the respectful tone that you would expect of a private business conference. To that end, Members and Visitors agree to help keep the Website safe and to honor a code of mutual respect and confidentiality, which includes the following commitments by you:

5.1  Applicable Laws. You agree and warrant that you will use the Website in accordance with all applicable laws, and that you will not use the Website or Services to participate, act, provide, or do anything that is inconsistent with this Agreement, or that we deem improper, including, but not limited to, piracy, copyright infringement, harassment of other users, insider trading, distribution of unsolicited commercial messages by e-mail, fax or telephone, or anti-competitive or violent behavior.

5.2  Contact Information. If you obtain contact information for any other user through the Website or Services, you agree to use that contact information only for legitimate business communications directly from you personally and that you will not use information obtained from the Website or Services to send, cause to be sent, or assist in the transmission of, unsolicited commercial messages (known as “spam”) to any other users through any medium. You also agree not to provide contact information for other users obtained through the Website or Services to any third party.

5.3  No Commercial Ads in User Content. You agree not include commercial advertisements or solicitations in any User Content with the exception that you may use the content in your Public Profile as a commercial advertisement or solicitation as long as it doesn’t violate this Agreement, any laws or professional standards. Otherwise, you may contract with Core Compass Solutions or an agent of Core Compass Solutions to use the formal advertising system established across the Core Compass Website and Services.

5.4  Other User Material. You agree not to delete or revise any material or other information of any other user of the Website or Services.

6.  Changes to This Agreement

6.1  Notification. We may change the terms of this Agreement at any time by notifying you of the change in writing or electronically (including without limitation, by email or by posting a notice on the Website that the terms have been "updated" or similar words).

6.2  Advance Notice. Unless we make a change for legal or administrative reasons, or to correct an inaccurate statement, we will provide you with seven (7) days advance notice of any changes that we intend to make to this Agreement.

6.3  Access. You can access this document at any time by going to the “Terms & Conditions” link at the Website.

6.4  Acceptance. Your continued use of the Website or Services following changes to this Agreement constitutes your acceptance of our amended terms.

7.  Fees and Payments

7.1  Age Requirement for Purchases. You must be 18 years of age or older to purchase a subscription to the Website, Services or any other content, product, or service offered by us through the Website or Services.

7.2  Subscription Fees. You agree to pay the subscription fees and any other charges incurred in connection with your account for a Service (including any applicable taxes) at the rates in effect when the charges were incurred. If your subscription includes access to areas containing premium content or services, your access to such areas may be subject to additional fees, terms and conditions, which will be separately disclosed in such areas. Unless you have paid by check, we will bill all charges automatically to your credit card. Subscription fees will be billed at the beginning of your subscription or any renewal. Generally, all fees and charges are non-refundable.

7.3  Refunds and Credits. We reserve the right to issue refunds or credits at our sole discretion. If we do issue a refund or credit, we are under no obligation to issue the same or similar refund in the future.

7.4  Changes in Fees and Charges. We may change the fees and charges then in effect, or add new fees or charges, by giving you notice in advance and an opportunity to cancel.

7.5  Updating Your Credit Card. If you want to use a different credit card or you need to update your credit card details, please visit Subscriptions on the Member Menu after signing in to Core Compass.

7.6  Unauthorized Use of Your Account. If you believe someone has accessed the Website or Services using your user name and password without your authorization, please immediately notify us by using the ‘Contact Us’ form on the Core Compass Website.

7.7  Access Fees. You are responsible for any fees or charges incurred to access the Website or Services through an Internet access provider or other Third Party service.

8.  Third Party Web Sites, Services and Software

We may link to, or promote web sites or services from other companies or offer you the ability to view information or download software or binary files from other companies. You agree that we are not responsible for, and do not control, those web sites, services, binary files and software. You also agree that we are not responsible for the content or privacy practices of those third party web sites.

9.  Termination

9.1  Access to Core Compass. Core Compass Solutions reserves the right, in its sole discretion, to terminate, suspend, or limit your access to the Website and Services, or any portion thereof, at any time without notice to you. If we do so, the provisions of this Agreement will survive such termination, except that you will not be permitted to use the Website and Services to the extent that we terminate, suspend, or limit your access.

9.2  Discontinuing Your Access. You may discontinue your own access to the Website and Services by contacting us in writing to request that your account be terminated. If you do so, you will not be eligible to receive a refund of any subscription or other fees that you have paid us, and any fees that are due on the date of your termination request will remain due.

10.  Agreement to Arbitrate

10.1  Arbitration. The parties acknowledge that any statutory or common law claims related to intellectual property may require forms of equitable relief that are best administered by courts; accordingly, the parties agree that except for statutory or common law claims related to intellectual property and disputes that qualify for small claims court, any controversy or claim arising out of or relating to this Agreement or any aspect of the relationship between us, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, will be resolved by arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes. Judgment on the award rendered by the arbitrator may be entered in any federal or state court of competent jurisdiction located in the County of Palm Beach in the State of Florida shall constitute a court of competent jurisdiction. For more information about arbitration, the AAA and the arbitration process, please consult the American Arbitration Association web site at adr.org. You agree that by entering into this Agreement, you and we are each waiving the right to trial by jury, except as otherwise stated above. Any arbitration under this Agreement will take place on an individual basis; class arbitrations and class actions are not permitted and, by entering into this Agreement, you are giving up the ability to participate in a class action. All issues are for the arbitrator to decide, except that issues relating to the scope, application, and enforceability of the arbitration provision are for the court to decide. As stated in Section 11 below, Florida law applies to any arbitration under this section, but the parties acknowledge that the Federal Arbitration Act governs the interpretation and enforcement of this provision. This agreement to arbitrate shall survive termination of this Agreement. This arbitration agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies, and, if the law allows, they can seek relief against us for you.

10.2  Arbitration Venue. Unless you and we agree otherwise, the arbitration will take place either in the County of Palm Beach in the State of Florida. For claims of $10,000 or less, you can choose whether you would like arbitration carried out based only on documents submitted to the arbitrator, or by a hearing in person, or by phone.

10.3  Arbitration Award. The arbitrator may award money or equitable relief in favor of only the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. To reduce the time and expense of the arbitration, the arbitrator will not provide a statement of reasons for his or her award unless requested to do so by both parties. Unless both you and we agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

11.  General

11.1  Governing Law. You agree that this Agreement, as well as any and all claims arising from this Agreement will be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to any conflict or choice of law principles. For all litigation which may be brought, subject to the requirements for arbitration hereunder, with respect to any controversy or claim, arising out of or relating to this Agreement or any relationship between us, the sole jurisdiction and venue for such litigation will be an appropriate federal or state court located in the County of Palm Beach in the State of Florida. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods.

11.2  Disputes with Other Users. In the event that you have a dispute with another user related to, arising from, or in any way connected with your use of the Website or Services, you agree to indemnify Core Compass Solutions, Inc., Core Compass, the Website, the Services and our Officers, Directors, Owners, Employees, Agents, Information Providers, Affiliates, Partners, and Licensors (the “Core Compass Solutions Parties”) against, and hold the Core Compass Solutions Parties harmless from claims, liability, losses, costs, and expenses (including attorney’s fees) incurred as a result or in connection with your use of the Website or Services.

11.3  LIABILITY LIMITATION. WE TRY TO KEEP THE CORE COMPASS WEBSITE AND CORE COMPASS SERVICES UP, BUG-FREE, AND SAFE, BUT YOU USE IT AT YOUR OWN RISK. WE ARE PROVIDING THE CORE COMPASS WEBSITE AND CORE COMPASS SERVICES AS IS WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE CORE COMPASS WEBSITE AND CORE COMPASS SERVICES WILL ALWAYS BE SAFE, SECURE OR ERROR-FREE OR THAT THE CORE COMPASS WEBSITE AND CORE COMPASS SERVICES WILL ALWAYS FUNCTION WITHOUT DISRUPTIONS, DELAYS OR IMPERFECTIONS. THE CORE COMPASS WEBSITE AND CORE COMPASS SERVICES IS NOT RESPONSIBLE FOR THE ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, AND YOU RELEASE US, OUR DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE §1542, WHICH SAYS: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR. WE WILL NOT BE LIABLE TO YOU FOR ANY LOST PROFITS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT, OR INCIDENTAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS STATEMENT OR CORE COMPASS AND CORE COMPASS SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF THIS STATEMENT OR THE CORE COMPASS WEBSITE AND CORE COMPASS SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH CASES, CORE COMPASS SOLUTION’S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

12.  Modifications to Core Compass Services Websites

Core Compass Solutions Inc. reserves the right, at any time, to modify or discontinue, temporarily or permanently, any Core Compass or Core Compass Services Website (or any part thereof) with our without notice. You agree that Core Compass Solutions shall not be liable to you or any third party for modifications, suspension, or discontinuance of a Core Compass or Core Compass Services Website.

13.  No Assignment or Third Party Beneficiaries

This Agreement is personal to you, which means that you may not assign your rights or obligations under this Agreement to anyone. No third party is a beneficiary of this Agreement.

14.  Entire Agreement

Unless otherwise specified herein, this constitutes the entire agreement between you and Core Compass Solutions and governs your use of the Core Compass website and other Core Compass Services websites, superseding any prior or contemporaneous communications and proposals in any form between you and Core Compass Solutions. If any part of this Agreement is determined to be invalid or unenforceable, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement shall remain in effect.

15.  No Waiver

You agree that our failure to enforce any provisions of this Agreement or respond to a breach by you or other parties does not in any way waive our right to enforce subsequently any terms or conditions of this Agreement or to act with respect to similar breaches.

16.  Relationship of the Parties

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Core Compass Solutions as a result of this Agreement or your access to and use of the Core Compass Website or Core Compass Services.

Core Compass^® is a registered trademark of Core Compass Solutions Inc.
